Salesforce announced it has agreed to buy customer engagement platform Braze for about $5.66 billion including debt. Braze Class A holders will receive $47.50 per share in cash, a 58% premium to Monday's close of $30.04. The deal is expected to close in fiscal 2028.

The logic is a product gap. Marketing Cloud has long been strongest in email and weakest in real-time mobile and in-app engagement, which is where Braze is strongest. Braze is a longtime competitor of Marketing Cloud, founded in 2011 and public for roughly a decade. Salesforce plans to plug it into Customer 360 to strengthen cross-channel personalization for brands reaching hundreds of millions of consumers.

Braze has roughly 2,770 customers, including Canva, Instacart, Venmo, Equinox, Urban Outfitters and Dairy Queen. That is a group of consumer apps Salesforce has not won on its own. Braze CEO Bill Magnuson says the company will keep building as Braze, though it is not yet clear how much of the product ends up inside Marketing Cloud.

This is the largest of a run of Salesforce acquisitions in 2026. The company has also announced deals for Contentful, m3ter, Fin, Listen Labs and Loops, and closed Fin in September. One commentator noted the price works out to about 6.8x revenue, versus 3.7x where Braze traded on Monday.

Our take

Salesforce is buying a direct rival to fill the exact weak spot in Marketing Cloud, and paying a steep premium to do it. With so many deals stacking up this year, the real test is whether Braze stays a distinct product or gets absorbed.
