Character.AI files for bankruptcy, and Disney bids $20 million for a license

Character.AI, once one of the hottest consumer AI startups, has filed for Chapter 11 bankruptcy about five years after launch. At its peak it reached around 20 million monthly active users and raised more than $193 million. In its filing it reports between $50 million and $100 million in both assets and liabilities.

The business problem was simple and brutal. Huge engagement meant huge inference bills, revenue never caught up, and legal costs piled on after lawsuits over harm to users. Cost cutting that made the product worse did not close the gap. For a chat companion app, every extra hour a user spends talking is another hour of GPU time someone has to pay for.

Disney has offered $20 million for a non-exclusive, perpetual license to some of the company's technology. That is a notable turn: in September 2025 Disney sent Character.AI a cease-and-desist letter over its characters. The platform keeps running during the sale process, and there is no buyer yet for the business as a whole.

Our take

A $20 million price for a once-hyped consumer AI brand shows how fast companion chat lost its premium. Expect more acquihire-priced exits from the 2023 class of consumer AI apps.
