Elon Musk says SpaceX closed a $40 billion debt deal to buy AI chips, and warns of a neocloud shakeout

Elon Musk said on Sunday that SpaceX has closed $40 billion in debt financing to buy GPUs for its AI operations. In the same thread on X, he warned that lenders are cutting off money to AI cloud companies that lack other revenue, and predicted a wave of failures among them.

"SpaceX closed $40B of debt for GPUs, but we're investment grade and have Starlink & launch revenue," Musk wrote, as quoted by Yahoo Finance. In a follow-up he said it is "primarily callable debt for GPU purchases that will arrive in Q1 and Q2," meaning the first half of 2027, and "Not a major factor this quarter." Callable debt can be repaid early. Yahoo Finance noted it was not immediately clear whether investors had agreed to the debt's pricing terms, so the final terms remain unconfirmed.

Earlier reporting gives some context. CNBC, citing Bloomberg, says SpaceX had been in talks with banks and investors to raise the money for Nvidia chips, with Goldman Sachs leading talks that included Apollo Global Management, and that a proposed structure would use a special purpose vehicle to keep the debt off SpaceX's balance sheet. CNBC also reports SpaceX's AI segment, which it calls Super Intelligence, brought in $7.56 billion of third quarter revenue, up from $813 million a year earlier. Reuters, via Yahoo Finance, says SpaceX expects $35 billion to $40 billion of capital spending in the fourth quarter alone.

The warning moved markets. "As of the past few weeks, debt markets have almost entirely shut off access to money for any company that doesn't have substantial revenue independent of AI data centers," Musk wrote, adding that "the 200+ neoclouds are going to see guppy-level death and consolidation." CNBC reports Nebius, CoreWeave and Iren fell more than 4% in early premarket trading on Monday before paring losses. Musk was replying to Social Capital founder Chamath Palihapitiya, who predicted stranded and idle compute in 2027. SpaceX itself sells computing capacity, so it competes with the companies it is warning about.

Not everyone agrees. Nvidia CEO Jensen Huang told CNBC that neocloud demand is "off the charts" and that the missing piece is working capital. Executives at Nebius and Iren also said customer demand has not changed.

For AI builders, this is a supplier risk question. If you rent GPUs from a smaller neocloud, check how it funds its hardware, avoid locking into long prepaid contracts with one provider, and keep your workloads portable so you can move if a provider gets squeezed.
